Terms of Service

WELCOME TO WORKSTEDI

This contract is between you and Workstedi Inc (“Workstedi”, “we”, “us”, or “our” as applicable), and covers all aspects of your use of our Services, which include the website, app and any other materials produced by Workstedi. These terms apply in full force and when you create a Workstedi Account, access our Services, or otherwise interact with us, you agree to be bound by this Agreement and agree to receive communication relating to the Services or your Workstedi Account in electronic format. Additionally, you affirm that you are at least eighteen (18) years old and legally allowed to enter into this Agreement. You expressly accept all Terms and Conditions contained herein in full and without limitation or qualification, including our: Privacy Policy and Acceptable Use PolicyYou must not use any of the Services if you have any objection to any of these terms.

It is essential that you read and understand all the terms of each of our policies as well as all the other agreements that are applicable to you. For certain Services, we may have additional terms and conditions that we will communicate to you through the Service or by other means, and these supplementary terms and conditions shall be included in this Agreement.

PURPOSE AND SCOPE OF AGREEMENT

This Terms of Service is an Agreement between you and Workstedi. It sets forth the terms and conditions that shall govern the use of the Platform, the marketplace, and the associated services. This Agreement details Workstedi’s obligations to you and your obligations as a user of our Platform. It also highlights certain risks inherent in using these services, and you must consider such risks carefully, as the provisions of this Agreement will bind you through your use of this website, the marketplace, or any of our services.

Our Services permit you to move money in supported currencies, send or receive money into your Workstedi Balance, keep amounts in your Workstedi Balance, pull out funds held in your Workstedi Balance, and send funds to recipients. Additionally, through our marketplace, you can engage in buying, selling, or listing products and services, interact with other users, and conduct transactions within the Platform.

We reserve the sole authority to refuse to accept any user or to complete any command to transmit, receive, send, withdraw, or convert money held in your Workstedi Account at any time. Similarly, we retain the right to refuse, remove, or suspend any listing, product, service, or transaction within the marketplace at our discretion.

REGISTRATION

  • To use Workstedi, you have to create a Workstedi account by registering. To register, you will provide us with certain information such as your email, first name, last name, business name and phone number and we may seek to verify your information, (by ourselves or through third parties), after which we will approve your account unless deemed risky. You permit us to do all these.
  • In the event that you change any information provided to us at registration including your business name, address, financial institution, mode of payments or the products and services that you offer, or where a corporate restructuring occurs, You agree to notify us within 14 days of such change. We may be unable to respond to you if you contact us from an address, telephone number or email account that is not registered with us.

GETTING TO KNOW YOU

We are required by law to carry out all necessary security and customer due diligence checks on you (including any parties involved in your transaction, e.g., your recipient) in order to provide any services to you. You agree to provide accurate, truthful, and up-to-date information in response to any request from us for further information and to provide such information in a format acceptable to us. In addition, you agree that we may make, directly or through any third party, any inquiries we consider necessary to validate the information you provided to us, including checking commercial databases or credit reports.

Workstedi reserves the right to close, suspend, or limit access to your Workstedi Account and/or the Services in the event we are unable to obtain or verify this information or if we discover that the information provided is inaccurate, untruthful, or incomplete. You authorize us to obtain one or more of your credit reports, from time to time, to establish, update, or renew your Workstedi account with us or in the event of a dispute relating to this agreement and activity under your Workstedi account.

ACCOUNT SECURITY

You are solely responsible for maintaining adequate security and control of any email IDs, passwords, or other details you use to access your Workstedi Account, the marketplace, and associated services. You agree not to allow anyone else to have or use your password details and to comply with all reasonable instructions regarding account access and security. In the event you share your password details, Workstedi will not be liable to you for any losses or damages resulting from such actions.

You must also take all reasonable steps to protect the security of the personal electronic device through which you access Workstedi’s services, including the marketplace. This includes, without limitation, enabling 2FA (two-factor authentication), using PIN and/or password-protected device functionality, and not sharing your device with other people.

For marketplace activities, you are responsible for securing any information related to your listings, purchases, sales, and communications with other users. Unauthorized access to your Workstedi Account could compromise not only your financial information but also your marketplace transactions, listings, and associated data.

Immediately change your password and contact Workstedi customer support if:

  • Anyone asks for your password, OTP, or any other security-related aspect of your Workstedi Account.
  • Your email address becomes compromised.
  • You suspect your Workstedi Account, including login details or marketplace-related information, has been stolen, lost, used without authorization, or otherwise compromised.
  • Your transaction history for your Workstedi Account shows transactions or marketplace activities that you did not initiate.

We may suspend your Workstedi Account or otherwise restrict its functionality if we have concerns about the security of the Workstedi Account, the marketplace, or any of its security features; or potential unauthorized or fraudulent use of your Workstedi Account or any of its security features.

AGE RESTRICTION

Our website and services are directed to people aged 18 and above. You are only permitted to use the Services if you are 18 or older. We do not knowingly engage people younger than the age of 18.

SOFTWARE LICENSE

For businesses, we hereby grant you a revocable, non-exclusive, non-transferable license to use marketplace platform, and other software applications (the “Software”) in accordance with the documentation accompanying the Software. This license grant includes all updates, upgrades, new versions, and replacement software for your use in connection with Workstedi’s services, including the operation and management of your marketplace activities.

This license allows you to use the Software to interact with the marketplace, list products or services, manage transactions, and utilize any other functionalities provided by the platform. You are required to use the Software in compliance with all documentation and guidelines provided by Workstedi.

If you do not comply with the documentation, guidelines, and any other requirements provided by Workstedi, you will be liable for all resulting damages suffered by you, Workstedi, and third parties. Additionally, any misuse of the marketplace functionalities provided through the Software, such as unauthorized alterations or manipulations of listings, transactions, or user data, is strictly prohibited.

Unless otherwise provided by applicable law, you agree not to alter, reproduce, adapt, distribute, display, publish, reverse engineer, translate, disassemble, decompile, or otherwise attempt to create any source code that is derived from the Software. You are also prohibited from using the Software to create any derivative works or to interfere with or disrupt the operation of the marketplace.

Upon expiration or termination of this Agreement, you will immediately cease all use of any Software, including any marketplace-related functionalities, and return or destroy all copies of the Software and associated documentation in your possession.

WARRANTIES AND REPRESENTATIONS

You represent and warrant to Workstedi that:

  • You have the full power, authority, regulatory approval and corporate authorization to enter into, execute, deliver and perform this Agreement.
  • You are duly organised, authorised, and in good standing under the laws of any state, region or country of your organisation. You are duly authorised to do business in all other states, regions or countries in which your business operates.

CHARGES AND FEES

You agree to pay us for the services we render, including those related to the marketplace. Our Fees will be calculated as demonstrated on the Pricing page on the website. These fees may include, but are not limited to, listing fees, transaction fees, and service fees associated with buying or selling on the marketplace.

Subject to the terms of this Agreement, Workstedi will send to your Workstedi account or card settlement account (“Bank Account”) all amounts settled and due to you from your transactions, including marketplace sales, minus our stated fees, any Reversals, Invalidated Payments, Chargebacks, Refunds, or other amounts that you owe to Workstedi under this Agreement (“Payout”).

We reserve the right to revise our fees, including those related to marketplace activities.

TRANSACTIONS, SERVICES AND PAYMENTS

You can deposit money to your Workstedi Account through one or more methods such as; bank transfer credit cards or debit cards. The number of methods available to you will depend on a number of factors. Deposits into your Workstedi account are provided by third parties, for example, the card provider which issued your credit or debit card. We cannot guarantee the use of any particular deposit method and when appropriate, we may restrict or prohibit a particular deposit method at any time without notice to you.

We will credit your Workstedi Account once we have received your deposit, and we are only responsible for the funds deposited once we have received it. In certain instances, you may be asked to provide us with evidence of source of funds in order for us to meet our regulatory requirements, in which case you agree to provide that evidence promptly. You represent and warrant to us that the evidence you provide to us is up to date, complete and accurate.

Workstedi is not a bank and banking services are provided by third party partner banks. The specified bank account details that we provide to you in order for you to receive funds from third parties are third party partner banks accounts created to facilitate transactions on the platform. Funds held by Workstedi are not insured by the Federal Deposit Insurance Corporation (FDIC) or any other deposit protection scheme. All Customer Funds are safeguarded; this means Workstedi does not use balances held by its customers for operating expenses or other corporate purposes and will not voluntarily make such funds available to its creditors in the event of bankruptcy.

You must ensure that the information you provide to us when you send or withdraw money is accurate. Once a transaction is processed, it cannot be reversed (except where and to the extent, required by applicable law) and except as expressly set forth in this Agreement, we will not be liable in any way for any loss you suffer as a result of a transaction being carried out in accordance with your instructions (or a third party acting on your behalf).

INTELLECTUAL PROPERTY

Unless otherwise stated, Workstedi and/or its licensors own the intellectual property rights and materials on the website, including the marketplace platform, subject to the license below. All text, formatting (including without limitation the arrangement of materials on the Workstedi website), graphics, animation, tools, commercials, music, video, articles, sound, copy, trade names, logos, and other materials and information on the website, including those related to the marketplace, are subject to the intellectual property rights of Workstedi, its affiliates, and their licensors and licensees (collectively the “Content”).

We do not grant you any right, license, title, or interest to any of our intellectual property rights which you may or may not have access to. This includes, but is not limited to, the marketplace platform, user interfaces, software, and any proprietary tools provided to you as part of your use of Workstedi’s services. The Content, including marketplace-related content, may not be copied, reverse-engineered, decompiled, disassembled, modified, or reposted to other websites or platforms without our express written permission.

As a marketplace user, you represent and warrant that any content you upload, post, or share on the marketplace, including but not limited to product listings, images, descriptions, and trademarks, is either your own intellectual property or that you have obtained all necessary rights and permissions to use such content in connection with your activities on the marketplace. You retain ownership of any intellectual property rights you hold in the content you upload but grant Workstedi a non-exclusive, worldwide, royalty-free license to use, display, and distribute such content as necessary to operate and promote the marketplace.

Nothing on the Workstedi site, including the marketplace, should be construed as granting by implication or otherwise, any license or right to use any trademark displayed on the Workstedi website without the written permission of Workstedi or such third party that may own the trademark. You agree to take such actions, including executing any legal or official documents, as may be needed to further affirm our intellectual property rights.

Workstedi reserves the right to remove any content that infringes on the intellectual property rights of others or violates our terms of service. Repeated violations may result in the suspension or termination of your access to the marketplace and other services.

CONFIDENTIAL INFORMATION

The parties acknowledge that in the performance of their duties under this Agreement, either party may communicate to the other (or its designees) certain confidential and proprietary information, including without limitation information concerning each party’s services, marketplace activities, user data, know-how, technology, techniques, business or marketing plans, product details, pricing strategies, and other trade secrets (collectively, the “Confidential Information”), all of which are confidential and proprietary to, and trade secrets of, the disclosing party.

Confidential Information does not include information that: (i) is public knowledge at the time of disclosure by the disclosing party; (ii) becomes public knowledge or known to the receiving party after disclosure by the disclosing party other than by breach of the receiving party’s obligations under this section or by breach of a third party’s confidentiality obligations; (iii) was known by the receiving party prior to disclosure by the disclosing party other than by breach of a third party’s confidentiality obligations; or (iv) is independently developed by the receiving party.

As a condition to the receipt of the Confidential Information from the disclosing party, the receiving party shall: (i) not disclose in any manner, directly or indirectly, to any third party any portion of the disclosing party’s Confidential Information, including any details related to marketplace operations, user data, or transaction specifics; (ii) not use the disclosing party’s Confidential Information in any fashion except to perform its duties under this Agreement or with the disclosing party’s express prior written consent; (iii) disclose the disclosing party’s Confidential Information, in whole or in part, only to employees, agents, or service providers who need to have access thereto for the receiving party’s internal business purposes or to fulfill marketplace-related activities; (iv) take all necessary steps to ensure that its employees, agents, and service providers are informed of and comply with the confidentiality restrictions contained in this Agreement; and (v) take all necessary precautions to protect the confidentiality of the Confidential Information received hereunder and exercise at least the same degree of care in safeguarding the Confidential Information as it would with its own confidential information, and in no event shall apply less than a reasonable standard of care to prevent disclosure.

For marketplace participants, this includes safeguarding any proprietary information related to product listings, pricing strategies, customer interactions, transaction histories, and any other sensitive data shared during the course of using Workstedi’s marketplace platform. Unauthorized use or disclosure of such information could result in suspension or termination of access to the marketplace and may subject the violator to legal action.

DISCLAIMERS

WORKSTEDI WILL STRIVE TO ENSURE THAT THE WEBSITE AND MARKETPLACE ARE AVAILABLE AT ALL TIMES AND FREE FROM BUGS. HOWEVER, YOUR USE OF OUR WEBSITE, MARKETPLACE, AND SERVICES IS AT YOUR OWN RISK.

OUR WEBSITE, MARKETPLACE, AND SERVICES ARE PROVIDED “AS IS” WITHOUT ANY EXPRESS, IMPLIED, AND/OR STATUTORY WARRANTIES (INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED OR STATUTORY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR USE OR PURPOSE, TITLE, AND NON-INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS). WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, WORKSTEDI MAKES NO WARRANTY THAT OUR WEBSITE, MARKETPLACE, OR SERVICES WILL MEET YOUR REQUIREMENTS OR THAT THEY WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU THROUGH OUR WEBSITE, MARKETPLACE, OR FROM WORKSTEDI, ITS PARENTS, SUBSIDIARIES, OR OTHER AFFILIATED COMPANIES, OR ITS OR THEIR SUPPLIERS (OR THE RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS OF ANY SUCH ENTITIES) (COLLECTIVELY, “WORKSTEDI PARTIES”) SHALL CREATE ANY WARRANTY.

FOR MARKETPLACE USERS, WORKSTEDI DOES NOT GUARANTEE THE QUALITY, SAFETY, LEGALITY, OR AVAILABILITY OF THE PRODUCTS OR SERVICES OFFERED BY THIRD-PARTY SELLERS, NOR DOES IT GUARANTEE THAT THE INFORMATION PROVIDED BY SELLERS OR BUYERS IS ACCURATE OR COMPLETE. ALL TRANSACTIONS CONDUCTED THROUGH THE MARKETPLACE ARE AT YOUR OWN RISK. WORKSTEDI DISCLAIMS ANY LIABILITY FOR ANY DAMAGES OR LOSSES ARISING FROM TRANSACTIONS OR INTERACTIONS BETWEEN BUYERS AND SELLERS ON THE MARKETPLACE.

WE RESERVE THE RIGHT TO SUSPEND, WITHDRAW, DISCONTINUE, OR CHANGE ALL OR ANY PART OF OUR SERVICES, INCLUDING THE MARKETPLACE, WITHOUT NOTICE. WE WILL NOT BE LIABLE TO YOU IF FOR ANY REASON OUR SERVICES, INCLUDING THE MARKETPLACE, ARE UNAVAILABLE (IN WHOLE OR IN PART) AT ANY TIME OR FOR ANY PERIOD. YOU ARE RESPONSIBLE FOR MAKING ALL ARRANGEMENTS NECESSARY FOR YOU TO HAVE ACCESS TO THE SERVICES.

LIMITATION OF LIABILITY

YOUR USE OF WORKSTEDI’S SITE, MARKETPLACE, AND SERVICES IS AT YOUR OWN RISK. YOU AGREE TO THE LIMITATION OF LIABILITY CLAUSE TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: WORKSTEDI WILL IN NO WAY BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES OR ANY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES RESULTING FROM REVENUE LOSS, PROFIT LOSS, LOSS OF USE, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR ANY OTHER INTANGIBLE LOSSES (WHETHER WORKSTEDI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR NOT) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF WORKSTEDI’S WEBSITE, MARKETPLACE, OR SERVICES. THIS INCLUDES, WITHOUT LIMITATION, DAMAGES ARISING FROM YOUR INABILITY TO USE THE WEBSITE, MARKETPLACE, OR SERVICES, OR FROM ANY TRANSACTIONS OR INTERACTIONS CONDUCTED THROUGH THE MARKETPLACE, WHETHER SUCH DAMAGES ARE BASED ON WARRANTY, TORT, CONTRACT, STATUTE, OR ANY OTHER LEGAL THEORY.

WORKSTEDI DISCLAIMS ANY LIABILITY FOR THE ACTIONS, PRODUCTS, OR SERVICES OF THIRD-PARTY SELLERS ON THE MARKETPLACE. WORKSTEDI DOES NOT GUARANTEE THE QUALITY, SAFETY, LEGALITY, OR AVAILABILITY OF PRODUCTS OR SERVICES OFFERED THROUGH THE MARKETPLACE, NOR DOES IT GUARANTEE THAT TRANSACTIONS WILL BE COMPLETED OR THAT SELLERS OR BUYERS WILL PERFORM AS PROMISED. ANY DISPUTES ARISING BETWEEN MARKETPLACE USERS SHALL BE RESOLVED BETWEEN THE PARTIES INVOLVED, AND WORKSTEDI WILL NOT BE LIABLE FOR ANY CLAIMS, LOSSES, OR DAMAGES ARISING FROM SUCH DISPUTES.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR THE LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS AND EXCLUSIONS MAY NOT APPLY TO YOU IN THEIR ENTIRETY BUT WILL APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

KNOW YOUR CUSTOMER

For businesses and marketplace participants, you agree that you are solely responsible for verifying your customers’ and counterparties’ identities, ensuring they are authorized to carry out transactions, and determining their eligibility to purchase or engage in transactions involving your products and services.

In the context of the marketplace, this responsibility extends to ensuring that sellers are authorized to offer products or services and that buyers are eligible to make purchases. You must maintain accurate records and proof of transactions, including service or product delivery, and make these records available to Workstedi upon request, especially in the event of disputes needing resolution.

INDEMNITY

You hereby indemnify Workstedi and agree to keep Workstedi, its staff, and affiliates indemnified against any losses, damages, costs, liabilities, and expenses (including, without limitation, reasonable legal fees and expenses) arising out of any breach by you of any provision of these Terms, or arising out of any claim that you have breached any provision of these Terms, or from any actions taken with respect to your Workstedi Account, including but not limited to suspension or termination.

In the context of the marketplace, you agree to indemnify and hold Workstedi harmless from and against any claim, suit, or proceeding brought against Workstedi arising from or in connection with your use of the marketplace, including but not limited to claims related to product or service offerings, intellectual property rights, or disputes with other marketplace users.

You will also indemnify Workstedi for any claims, suits, or proceedings related to violations of intellectual property or other rights of third parties arising from your use of the marketplace or services.

If you have a dispute with any other Workstedi Account holder, seller, buyer, or third party that you engage with through the marketplace, you release Workstedi from any and all claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such disputes.

TERMINATION

You may terminate this Agreement by closing your Workstedi Account.

We may, in our sole discretion, suspend or close your Workstedi Account, restrict your access to Workstedi’s services and marketplace, or terminate this Agreement if:

  • You do not comply with or breach any of the provisions of this Agreement;
  • We are required to do so by law, government authority or agency, or law enforcement agency;
  • We detect a suspicious or fraudulent transaction;
  • We have reason to believe you are involved in any fraudulent activity, money laundering, terrorism financing, or other criminal or illegal activity;
  • You violate any marketplace-specific rules or policies established by Workstedi.

In the event of a breach related to the marketplace, Workstedi may take further actions it deems appropriate to address the breach, which may include, but is not limited to, suspending your access to the marketplace, prohibiting you from listing or purchasing products or services, blocking computers using your IP address from accessing the marketplace, contacting your internet service provider to request that they block your access to the marketplace, and/or bringing court proceedings against you.

We may also suspend your Workstedi Account if it has been compromised, if there are security concerns, or if it has been used or is being used without your authorization or fraudulently.

If we close your Workstedi Account or terminate your use of the Services or marketplace for any reason, we will provide you with notice of our actions and make any unrestricted prepaid money held in your Workstedi Account available for withdrawal. You are responsible for all reversals, chargebacks, fees, fines, penalties, and other liabilities incurred by Workstedi, any other Workstedi customer, or a third party, caused by or arising out of your breach of this Agreement, and/or your use or the use of your authorized third parties of the Services or marketplace. You agree to reimburse Workstedi, any Workstedi customer, or a third party for any and all such liability.

On termination for any reason, all rights granted to you in connection with the App, including access to the marketplace, shall cease, and you must immediately delete or remove the App from your devices.

PENDING PAYMENTS
If there are any pending transactions relating to your Workstedi Account when you initiate account deletion, your Workstedi Account will be closed promptly after such transactions are completed.

REMAINING BALANCES
Before closing your account, you should empty your currency balances and clear any remaining balances associated with marketplace transactions. Unused balances in your Workstedi account, including funds held in connection with marketplace transactions, may be lost if not properly removed or utilized. Workstedi will not be liable for any losses that may occur due to failure to remove all funds or settle all marketplace transactions in your account.

You must not close your Workstedi Account to avoid an investigation or pending marketplace obligations. If you attempt to close your Workstedi Account during an investigation or while marketplace-related issues are unresolved, we may hold your funds until the investigation is fully completed, and any outstanding marketplace transactions are settled.

You agree that you will continue to be responsible for all obligations related to your Workstedi Account and marketplace activities even after it is closed. As a regulated financial institution and marketplace operator, Workstedi is obligated to retain some of your data for purposes such as security, fraud prevention, accounting, reconciliation, anti-money laundering, and regulatory reporting.

DISPUTE RESOLUTION

If a dispute of any kind whatsoever arises between the Parties in connection with or arising out of the execution of this Agreement, including but not limited to any dispute related to marketplace transactions, listings, or other marketplace activities, or any dispute regarding the execution, validity, interpretation, or enforceability of this Agreement, such dispute shall be finally settled pursuant to the dispute resolution process described in this clause.

The Parties shall use their best endeavors to settle any dispute or difference of opinion arising from or in connection with this Agreement amicably through mutual discussion and negotiation. This includes any disputes related to marketplace transactions, product or service listings, or other marketplace-related issues.

If the Parties are unable to settle the dispute through discussion and negotiation within 15 (fifteen) Business Days, the dispute shall be referred to Mediation. The Mediation shall be conducted by the legal representative of either of the Parties, and the Parties will choose a mutually acceptable mediator.

The findings of the Mediator and any subsequent award or Agreement resulting from the Mediation shall be binding on both Parties. Each Party shall bear its respective costs in connection with the Mediation.

ERRORS

With regard to your Workstedi Account, the following are considered Errors:

  • When money is either incorrectly withdrawn from your Workstedi Account or incorrectly deposited into your Workstedi Account, or when a transaction or transfer is incorrectly recorded in your Workstedi Account;
  • When you send money to a third party or withdraw money, and the incorrect amount is debited from your Workstedi Account;
  • When an incorrect amount is credited to your Workstedi Account;
  • When a transfer to or from your Workstedi Account is missing from or not properly identified in your Workstedi Account statement;
  • When there is a computational or mathematical error related to your Workstedi Account or currency conversion;
  • When you request additional information or clarification concerning a transfer to or from your Workstedi Account, including a request to determine whether an error has occurred;
  • When you inquire about the status of a pending transfer to or from your Workstedi Account;
  • Errors arising from marketplace transactions, such as incorrect listings, pricing errors, or issues with marketplace-related activities.

If you believe an Error of the type described above has occurred with respect to your Workstedi Account, and you duly contact us, we will investigate and determine whether an error occurred within ten (10) Business Days after we hear from you and will correct any error promptly. If we need more time, however, we may take up to 45 days to investigate your complaint or question. During this time, we will credit your Workstedi Account within ten (10) Business Days for the amount you think is in error, so you will have use of the money while we complete our investigation.

Please note that third-party partners are liable for transactions conducted using their platforms. Therefore, if any error is discovered from a third-party partner, the third-party partner is liable.

We will rectify any Errors that we discover. If the Error results in:

  • You receiving less than the correct amount to which you were entitled, we will credit your Workstedi Account for the difference between what you should have received and what you actually received.
  • You receiving more than the correct amount to which you were entitled, we will debit your Workstedi Account for the difference between what you actually received and what you should have received.

The following are not considered Errors:

  • If you give someone access to your Workstedi Account (by sharing your login information) and they use your Workstedi Account without your knowledge or permission. You are responsible for transactions made in this situation.
  • Invalidation and reversal of a payment or transaction as a result of actions described under Reversals and Chargebacks;
  • Routine inquiries about your Workstedi Account balance;
  • Requests for duplicate documentation or other information for recordkeeping purposes;
  • Changes requested by the recipient of funds sent from you;
  • Delays resulting from Workstedi applying holds or limitations, based on confidential risk management procedures or regulatory restrictions. We have no obligation to disclose details of our risk management or security procedures to you;
  • Delays based on a review of a potentially high-risk transaction;
  • Your errors in making a transaction
  • Delays due to actions of third parties

 

SEVERABILITY

The invalidity, illegality, or unenforceability of any provision of this Agreement shall not affect the validity, legality, and enforceability of the remaining provisions. If any provision of this Agreement is determined to be invalid or unenforceable by a court of competent jurisdiction, that provision will be deemed modified to the minimum extent necessary to render it valid and enforceable, and the remaining provisions will continue in full force and effect.

ASSIGNMENT

You agree that we may assign, transfer, sub-contract, or otherwise deal with our rights and/or obligations under these terms and conditions without prior notice to you. Without our prior written consent, you may not assign, transfer, sub-contract, or otherwise deal with any of your rights and/or obligations under these terms and conditions, including those related to marketplace transactions.

REVERSALS AND CHARGEBACKS

If you receive a payment through Workstedi that is later refunded or invalidated for any reason, including marketplace-related transactions, you are responsible for the full amount of the payment plus any fees (including applicable chargeback fees). Workstedi will reverse the transaction directly from your Workstedi Account in the same amount as the original transaction.

If you receive a payment funded by a debit or credit card and a chargeback is initiated with the card issuer, Workstedi may charge you a fee for processing the chargeback and will deduct the charged-back amount from your Workstedi Account.

Payments to you may be invalidated and reversed by Workstedi in the following situations:

  • Our investigation reveals that the transaction was fraudulent.
  • Workstedi made an error in sending the payment.
  • The payment was unauthorized.
  • The payment was received for activities that breach this Agreement, the Acceptable Use Policy, or any other agreement with Workstedi.
  • Marketplace-related transactions are found to be fraudulent, in violation of terms, or involve disputes requiring reversal.

You are liable to Workstedi for the full amount of any payment that is invalidated for any reason, including any associated fees.

If your Workstedi Account balance becomes negative due to a chargeback, reversal, or other fees, you owe Workstedi the negative amount. You agree to repay this debt immediately without any notice. Workstedi may send reminders or take reasonable actions to recover the amount owed, which may include using debt collection services or pursuing legal action. You may be responsible for any costs incurred in these collection efforts.

UPDATES, MODIFICATION & ADJUSTMENTS

Workstedi reserves the right to change, revise, or modify these Terms from time to time by updating this page. The changes will not be retroactive, and the most current version of the Terms will always be available on this page and will govern our relationship with you. We will also attempt to notify you of any material changes, which may be done via the email associated with your account or through service notifications. By continuing to use our services, including any marketplace features, after the changes become effective, you agree to be bound by the revised Terms.

DATA PROTECTION

Regarding all Personal Information related to or processed in connection with Workstedi or its website, such Personal Information will always comply with all applicable Data Protection Laws, including the General Data Protection Regulation (GDPR) and any other relevant data protection regulations. Workstedi maintains a Privacy Policy that outlines the Personal Information we collect from you or that you provide to us and how we store and use this information in accordance with applicable data protection laws. By using Workstedi’s Services, including marketplace services, you consent to such processing and commit to providing accurate information.

THIRD-PARTY MATERIALS

Certain functionalities of our Website or App may provide access to information, products, services, and other materials provided by third parties (“Third Party Materials”), or allow for the routing or transmission of such Third Party Materials, including via links. By using these functionalities, you are directing us to access, route, and transmit the applicable Third Party Materials to you.

Any access or agreement you make with such Third Party Materials is between you and the third party. Workstedi will have no liability for any loss arising from such agreements. We neither control nor endorse, nor are we responsible for any Third Party Materials, including their accuracy, validity, timeliness, completeness, reliability, integrity, quality, legality, usefulness, or safety, or any intellectual property rights therein. Some Third Party Materials may be inaccurate, misleading, or deceptive. Nothing in this Agreement should be interpreted as a representation or warranty by us regarding any Third Party Materials. We are not obligated to monitor Third Party Materials, and we may block or disable access to any Third Party Materials (in whole or part) through the Website or App at any time. The availability of Third Party Materials through the Website or App does not imply our endorsement or affiliation with any provider of such Third Party Materials, nor does it create any legal relationship between you and the provider.

Your use of Third Party Materials is at your own risk and is subject to any additional terms, conditions, and policies applicable to such Third Party Materials, including the terms of service or privacy policies of the providers.

GOVERNING LAW

The formation, existence, construction, performance, validity, and all aspects of these Terms of Service, including any marketplace transactions, will be governed by and construed in accordance with the laws of the United States of America.
